Terms & Conditions of Use Agreement [EN]

Welcome to ShopsBuilder!

ShopsBuilder Bot (hereinafter referred to as the "Bot") is an intelligent Mini App that allows users to create and manage their online stores via Telegram. These Terms & Conditions of Use (this "Agreement") govern your access to and use of:

  1. All products, services, and features offered by ShopsBuilder, including but not limited to the Bot.
  2. Any ShopsBuilder applications available through social networking platforms, mobile devices, or other platforms.
  3. Any software or websites associated with ShopsBuilder.

For clarity, the "Service" refers to the above collectively.

This Service is not directed to persons under eighteen (18) years of age.

PLEASE READ THIS AGREEMENT VERY CAREFULLY BEFORE USING THE SERVICE.

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by this Agreement, whether you are a "Visitor" (browsing the Bot) or a "Member" (registered user). If you do not agree to this Agreement, you should discontinue use of the Service immediately.

ShopsBuilder reserves the right to modify this Agreement. Updates will be posted on the Bot, and your continued use of the Service signifies acceptance of any changes.

2. General Registration Requirements

To register as a Member:

  1. A "Member" refers to an individual who has registered on the platform as a shop creator or any user who accesses and utilizes the platform on behalf of a shop creator with their consent.
  2. You must provide accurate and complete information during registration.
  3. You must be at least eighteen (18) years old.
  4. You are responsible for maintaining the confidentiality of your account information and for all activities conducted under your account.

Shops Builder reserves the right to terminate accounts for any violation of these terms.

3. Mini App and Telegram Ecosystem

ShopsBuilder operates as a Mini App within the Telegram platform, subject to Telegram’s Terms of Service for Mini Apps. By using ShopsBuilder, you acknowledge and agree to comply with these terms in addition to this Agreement. Telegram provides the infrastructure for Mini Apps but does not oversee the specific content, services, or shops created using ShopsBuilder.

4. ShopsBuilder Features and Responsibilities

  1. ShopsBuilder facilitates the creation and management of online shops by providing tools and features to users.
  2. ShopsBuilder does not own or control the products, services, or transactions conducted by shops created on the platform. All responsibilities for shop content, legality, and compliance rest solely with the shop creators.
  3. ShopsBuilder is not liable for disputes arising between shop creators and their customers, nor does it mediate such disputes.
  4. Users must not hold ShopsBuilder liable for losses caused by fraudulent shops. Disputes must be directed to the respective shop owners.

5. Third-Party Integrations

ShopsBuilder supports integrations with third-party services. If you integrate your shop with a third-party service:

  1. You must notify ShopsBuilder support within 24 hours of the integration. For assistance, contact us at Telegram Support.
  2. ShopsBuilder is not liable for any issues arising from third-party integrations, including data sharing or service disruptions.
  3. You are responsible for ensuring that integrations comply with all applicable laws and Telegram’s Mini Apps Terms of Service.
  4. Shop owners must ensure that third-party integrations comply with data protection laws and industry best practices. ShopsBuilder disclaims liability for data breaches caused by third-party systems.

6. Payments and Transactions

  1. Payments for services or products offered through shops created on the platform are processed by third-party payment providers selected by the shop creator.
  2. ShopsBuilder does not handle payment processing, refunds, or chargebacks. Such matters must be addressed directly with the respective shop owner or payment provider.
  3. Dissatisfaction with premium features does not qualify for refunds outside the specified 24-hour window.

7. Prohibited Conduct

You agree not to use ShopsBuilder to:

  1. Create or manage shops that sell illegal or prohibited items under applicable laws or Telegram’s policies.
  2. Engage in fraudulent, deceptive, or harmful practices.
  3. Violate intellectual property rights or privacy laws.
  4. Harm or exploit other users of the platform.

ShopsBuilder reserves the right to suspend or terminate accounts found in violation of these terms. Additionally, ShopsBuilder reserves the right to report any illegal activities or violations of applicable laws conducted through the platform to the relevant authorities, including law enforcement or regulatory bodies.

8. Intellectual Property

All materials and content provided through the Service, including but not limited to text, images, trademarks, and software ("ShopsBuilder Content"), are the exclusive property of ShopsBuilder or its licensors. Users must obtain explicit written permission from ShopsBuilder to use any ShopsBuilder Content for purposes beyond those outlined in this Agreement. You are granted a limited, non-exclusive, and revocable license to use the Service for its intended purpose. Reproduction, redistribution, or modification of ShopsBuilder Content without permission is prohibited.

9. Content Ownership and Usage

  1. Content created on ShopsBuilder by users remains the intellectual property of the respective creators.
  2. By using the platform, you grant ShopsBuilder a non-exclusive, worldwide license to use content for promotional and operational purposes.
  3. Unauthorized use of ShopsBuilder’s proprietary tools and content is strictly prohibited.
  4. ShopsBuilder reserves the right to pursue legal action against unauthorized use of its intellectual property.

10. Premium Subscription Terms

  • Subscription Fees Premium features on ShopsBuilder are offered as a subscription-based service with a monthly billing cycle. Subscription fees are non-refundable. The exact pricing and features of the premium plan are outlined on the ShopsBuilder platform.
  • Billing and Cancellation
    • Premium subscriptions renew automatically unless canceled before the start of the next billing cycle.
    • To cancel a subscription, you must check your Telegram account in the subscribtion section.
  • Refund Policy
    • Refunds are not available after purchase.
  • Premium Feature Modifications
    • ShopsBuilder reserves the right to modify, enhance, or discontinue specific premium features at its sole discretion. Advance notice will be provided whenever feasible. Members acknowledge that such modifications may occur without entitlement to compensation or refunds.
  • Member Responsibilities
    • Members using premium features must comply with all ShopsBuilder policies and avoid activities that violate Telegram's Mini Apps Terms of Service or applicable laws. Violation of these terms may result in the suspension or termination of the premium subscription without a refund.

11. Liability Disclaimer

ShopsBuilder provides the Service "as is" without warranties of any kind, either express or implied. ShopsBuilder is not responsible for any losses, damages, or disputes arising from:

  1. Use of the platform.
  2. Third-party services or integrations.
  3. Issues related to transactions conducted through shops created on the platform.
  4. Temporary platform outages or disruptions.

12. Privacy

Your use of the Service is subject to our Privacy Policy. By using the Service, you consent to the collection and use of your information as outlined in the Privacy Policy.

13. Termination

ShopsBuilder reserves the right to:

  1. Suspend or terminate your account for any violation of this Agreement.
  2. Modify or discontinue the Service without notice.
  3. Investigate and remove any shop suspected of engaging in fraudulent or illegal activities without prior notice.

14. Governing Law

This Agreement shall be interpreted and governed by the general principles of fairness and good faith. In case of disputes, the parties agree to resolve matters through amicable negotiations. If no resolution is reached, the dispute may be referred to informal arbitration or mediation as agreed upon by both parties.

15. Changes to Terms

ShopsBuilder reserves the right to modify these Terms at any time. Continued use of the platform after changes signifies acceptance of the updated Terms. Notification of changes will be posted on the platform.

16. Entire Agreement

This Agreement constitutes the entire understanding between you and ShopsBuilder regarding your use of the Service and supersedes any prior agreements. If any provision of this Agreement is deemed invalid, the remaining provisions will remain in full force and effect.
